Sayph Ltd – Terms and Conditions

These Terms and Conditions (“Terms”) govern your purchase and use of Sayph devices, software, services and applications. Please read them carefully before placing an order or creating an account.

2. Who These Terms Apply To
2.1 These Terms apply only to individuals aged 18 or over.
2.2 By using Sayph, you confirm that you are a parent, legal guardian, or authorised carer with responsibility for the child who will use the Sayph phone.
2.3 The Primary Account Holder is the individual who:
- purchases the device and/or subscription;
- manages billing;
- receives notices from us; and
- is legally responsible under these Terms.
2.4 You may authorise one additional carer to access the Sayph Space parent portal. The Primary Account Holder remains fully responsible for all activity on the account.
3. Our Products and Services
We provide:
- Sayph Phones – smartphones supplied with Sayph’s restricted operating system pre-installed; and
- Sayph Space – a subscription-based parent/carer portal that enables monitoring and controls for a child’s device.
3.1 Sayph Space Access
Sayph Space is a single service that may be accessed via:
- a web-based application;
- an iOS mobile application; and
- an Android mobile application.
All versions are interfaces to the same Sayph Space service and provide access to the same underlying account, data and controls. Functionality may vary slightly by platform or device.
The Sayph Space mobile applications do not provide independent functionality and are provided solely as access points to an existing Sayph Space account created via our website.
3.2 Subscription Dependency
The Sayph phone will continue to function without an active Sayph Space subscription. However, certain features (including approval of new contacts) require an active subscription and access to Sayph Space via one of the available interfaces.
4. Orders, Pricing and Payment
4.1 Prices are shown in pounds sterling (£) and include VAT where applicable.
4.2 Payment is taken via our website using third-party payment providers (currently Stripe).
4.3 Subscriptions renew automatically unless cancelled before the end of the current billing period.
4.4 We may change subscription prices by giving at least one calendar month’s notice to the Primary Account Holder.
5. Delivery and Ownership
5.1 We currently deliver within the UK only.
5.2 Delivery usually takes place within three working days.
5.3 Ownership of the device passes to you on delivery.
5.4 Risk of loss or damage passes to you on delivery.
6. SIM Cards and Mobile Connectivity
6.1 Sayph does not provide SIM cards or mobile network services.
6.2 You are responsible for selecting and maintaining a suitable third-party SIM and mobile plan.
6.3 We are not responsible for network coverage, availability, outages or service interruptions caused by third-party providers.
7. Subscriptions, Cancellation and Suspension
7.1 You may cancel your Sayph Space subscription at any time. Access will continue until the end of the current billing period.
7.2 We do not provide partial refunds for unused subscription periods.
7.3 We may suspend or terminate access to Sayph Space where:
- payment fails;
- the service is misused; or
- these Terms are breached.
8. Cooling-Off Period and Refunds
8.1 You have a 14-day cooling-off period from:
- delivery of a device; or
- activation of a Sayph Space subscription.
8.2 If you cancel within this period, we will refund you in accordance with UK consumer law.
8.3 For subscriptions, no refund is due for any period already used prior to cancellation.
9. Faulty Devices
9.1 If a device is faulty and the fault is not caused by misuse, accidental damage or lack of care, you may return it to us for inspection.
9.2 Where a fault is confirmed, we will repair or replace the device with a new or professionally refurbished device of equivalent model and condition.
9.3 Inspection and replacement may take several working days, plus delivery time.
Your statutory consumer rights are not affected.
10. Child Safety, Monitoring and Limitations
10.1 Sayph is designed to support parental supervision, not replace it.
10.2 Monitoring features accessible via Sayph Space may include:
- SMS/MMS message access and summaries;
- contact management;
- location tracking and location summaries;
- usage and activity statistics.
10.3 AI-generated summaries are provided for convenience only and:
- may be incomplete, delayed or inaccurate;
- must not be relied upon as a substitute for parental review or safeguarding decisions.
10.4 We do not guarantee:
- prevention of harm, bullying or grooming;
- continuous availability of monitoring features; or
- real-time accuracy of information.
10.5 The Sayph phone is not guaranteed to function in emergencies and must not be relied upon as an emergency device.
11. Acceptable Use
You must not:
- use Sayph services for unlawful purposes;
- harass, threaten or abuse others;
- attempt to bypass or interfere with controls;
- reverse engineer, tamper with or modify our software.
We reserve the right to disable features or terminate accounts for misuse.
12. Intellectual Property
12.1 All software, platforms, applications, branding and content remain the property of Sayph Ltd or its licensors.
12.2 You are granted a limited, non-exclusive, non-transferable licence to access and use Sayph Space and related software for personal, non-commercial purposes only.
13. App Store Terms (Platform Providers)
13.1 These Terms are between you and Sayph Ltd, not Apple Inc., Google LLC or any other platform provider.
13.2 Platform providers have no responsibility for the services, content, support or maintenance of Sayph Space.
13.3 Platform providers are not responsible for any claims relating to Sayph Space or its use.
14. Data Protection and Privacy
14.1 We process personal data in accordance with the UK General Data Protection Regulation, the Data Protection Act 2018, and our Privacy Policy, available on our website.
14.2 We collect and process personal data necessary to provide Sayph Space and related services (including account details, device-related data and monitoring data) on the lawful bases of contract and consent, as described in our Privacy Policy.
14.3 Parents and carers provide consent on behalf of their child.
14.4 We may update our Privacy Policy independently of these Terms. The most recent version published on our website applies to current services.
15. Liability
15.1 Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
15.2 Subject to clause 15.1:
- our liability for Sayph Space subscription services is limited to the fees paid in the previous 12 months; and
- our liability for devices is limited to the price paid for the device.
15.3 We are not liable for indirect or consequential losses, loss of data, or emotional distress where lawful.
16. Changes to These Terms
16.1 We may update these Terms from time to time.
16.2 Material changes will be notified via our website, email or Sayph Space.
16.3 Continued use after changes take effect constitutes acceptance.
17. Business Closure
If we cease trading, we will continue to provide services for existing subscriptions where reasonably possible and give at least 30 days’ notice.
18. Complaints and Disputes
18.1 Complaints should be raised via our support system or at [email protected].
18.2 We aim to respond within one working day.
18.3 We are willing to engage in Alternative Dispute Resolution where appropriate.
19. Governing Law
These Terms are governed by the law of England and Wales.
